1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Tetto website at mytetto.com and any related services (collectively, the "Services") provided by MG Holding Group, LLC, a California limited liability company doing business as "Tetto" ("Tetto", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Description of Services

Tetto provides AI operations services for the surface industry, including AI chatbots, workflow automation, document generation, and related consulting. Specific deliverables and pricing are defined in separate written agreements or order forms.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business use in the surface industry.

4. Accounts and Access

Some parts of the Services may require an account or access code. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us immediately at alfredo@mytetto.com if you suspect unauthorized access.

5. User Conduct

You agree not to:

• Use the Services for any unlawful purpose
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to the Services or any related systems
• Reverse engineer, decompile, or attempt to extract source code from the Services
• Upload or transmit viruses, malware, or other malicious code
• Harass, abuse, or harm another person through the Services
• Submit false or misleading information

6. AI-Generated Content

Our Services include AI assistants (including "Valentina") that generate responses based on your input. AI output may contain errors, inaccuracies, or recommendations that are not appropriate for your specific situation. You are responsible for reviewing all AI-generated content before relying on it or acting on it. Tetto does not guarantee the accuracy, completeness, or suitability of any AI-generated output.

7. Intellectual Property

All content on mytetto.com, including text, graphics, logos, images, and software, is owned by or licensed to Tetto and protected by United States and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent, except as expressly permitted by these Terms.

You retain ownership of content you submit to us (such as messages, files, and images). By submitting content, you grant Tetto a worldwide, non-exclusive, royalty-free license to use, store, and process that content solely to provide the Services and improve them.

8. Third-Party Services

The Services integrate with third-party platforms including Instagram and Facebook (Meta Platforms, Inc.), Close CRM, Anthropic, Make.com, Airtable, Buffer, Vercel, and others. Your use of those platforms is governed by their respective terms. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Fees and Payment

Fees for paid Services are set forth in separate order forms or statements of work. All fees are non-refundable unless otherwise stated in writing. Late payments may be subject to a fee and suspension of Services.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TETTO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TETTO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TETTO IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless Tetto and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may stop using the Services at any time. Sections that by their nature should survive termination will do so, including provisions on intellectual property, disclaimers, limitation of liability, and indemnification.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to the jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the "Last updated" date above. Your continued use of the Services after the updated Terms take effect constitutes acceptance of the changes.
